Terms of Commercial Service & Master Service Agreement
These Terms of Commercial Service ("Terms" or "Agreement") constitute a legally binding commercial contract between RollUp Industrial Door Specialists LLC, operating as RollUp Door Direct ("Contractor," "we," or "us"), and the commercial facility owner, tenant, property manager, general contractor, or authorized representative ("Client," "Customer," or "you") requesting commercial roll-up door repair, installation, maintenance, or compliance inspection services.
1. Scope of Commercial Services
Contractor agrees to perform the commercial overhead door, rolling steel curtain, loading dock leveler, security grille, and life-safety fire door repairs specifically set forth in written estimates, purchase orders, or digitally signed work authorizations. All services are performed in accordance with American National Standards Institute (ANSI) / Door & Access Systems Manufacturers Association (DASMA) 102 specifications, OSHA 29 CFR 1910 standards, and manufacturer engineering guidelines.
2. Authorization & Right of Facility Access
The individual executing a service request or signing a field work order warrants that they possess full legal authority to bind the commercial entity operating or owning the facility. Client agrees to provide Contractor's technicians and mobile service equipment with safe, unimpeded access to designated door openings, loading dock bays, electrical disconnect panels, and operator controls. Client must disclose any hazardous site conditions, environmental contaminants, or restricted security protocols prior to technician arrival.
3. Commercial Rates, Diagnostic Fees & Purchase Orders
Contractor provides transparent, all-inclusive commercial pricing. The standard commercial diagnostic service call fee ($149) covers initial on-site mechanical inspection, electrical control troubleshooting, and preparation of a detailed repair estimate. This diagnostic fee is waived when Client authorizes recommended repairs during the initial service visit. For Client accounts operating under approved corporate purchase orders (POs), payment terms are Net-30 from invoice date. Invoices remaining unpaid beyond 30 days are subject to a late charge of 1.5% per month (18% per annum) or the maximum statutory rate permitted by state law.
4. Emergency Dispatch & Cancellation Policy
Due to the priority allocation of specialized commercial crane equipment, heavy-duty replacement hardware, and certified industrial mechanics for emergency calls, cancellations must be communicated at least two (2) hours prior to scheduled technician arrival. Service calls canceled after technician dispatch or upon technician arrival at facility gates are subject to the standard commercial diagnostic dispatch charge.
5. Commercial Warranty Coverage & Limitations
Contractor warrants all newly installed replacement parts and workmanship under the following terms:
- Structural Steel Slats & Guides: One (1) year warranty against manufacturing defects and structural cracking under normal commercial cycling.
- Heavy-Duty Internal Barrel Torsion Springs: Three (3) to five (5) year pro-rated warranty on commercial-grade 50,000 to 100,000 cycle ASTM A229 oil-tempered helical springs, contingent upon maintenance of proper door balance and regular lubrication.
- Commercial Electric Operators & Gearheads: Manufacturer warranty (typically one to two years) on internal motors, gear reducers, and electrical boards, backed by Contractor's 90-day labor warranty.
- Exclusions from Warranty: Warranty coverage is strictly voided if door assemblies suffer forklift impacts, vehicle collisions, physical tampering, unauthorized structural modifications, severe weather damage exceeding engineered wind-load ratings, or lack of basic preventative lubrication.
6. Limitation of Liability & Consequential Damages
To the maximum extent permitted by applicable state law, Contractor's total liability arising out of or related to the performance or non-performance of commercial services shall not exceed the total fees paid by Client for the specific service call giving rise to the claim. Contractor shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including but not limited to loss of commercial inventory, warehouse downtime, carrier detention charges, business interruption, or loss of profits, whether based in contract, tort, strict liability, or otherwise.
7. Life-Safety & NFPA 80 Fire Door Disclosures
Client acknowledges that rolling fire doors serve a critical life-safety compartmentation role under NFPA 80 and municipal building codes. If during inspection or drop testing a fire door is found to be mechanically compromised, seized, or missing required fusible links, Contractor will notify Client immediately. Contractor assumes no liability for municipal fines, insurance denials, or property damages resulting from Client's refusal to authorize mandatory life-safety repairs.
8. Force Majeure & Severe Weather Disclosures
Neither party shall be liable for failure or delay in performing service obligations (except payment obligations) due to causes beyond reasonable control, including acts of God, extreme hurricane winds, severe ice storms, electrical grid blackouts, acts of civil or military authority, national transportation strikes, or supply chain embargoes affecting specialized structural steel alloy imports.
9. Governing Law & Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas without regard to conflict of law principles. Any dispute, claim, or controversy arising out of or relating to this Agreement that cannot be resolved amicably shall be submitted to binding commercial arbitration administered by the American Arbitration Association (AAA) in Houston, Harris County, Texas.
